Brian D. Doerner is a Practice Co-Leader of the Mergers and Acquisitions Group. Brian also is the former Chair of the Business and Transactions Department, former Co-Leader of the Life Sciences Industry Group, and he served for six months as the interim general counsel for a NYSE-listed multinational company.

Brian has over 30 years of experience representing both public and private companies in mergers and acquisitions, restructurings, cross-border transactions, and corporate governance matters. He has negotiated numerous strategic alliances and licensing agreements for life sciences, technology, manufacturing, and other companies. In the area of securities law, Brian has handled numerous private placements, private equity transactions, tender offers, initial public offerings, follow-on offerings, and 144A transactions.

After receiving his M.B.A. and before attending law school, Brian worked at IBM.

Representative Matters

Advised DuPont in its divestiture of its Mobility & Materials segment to a technology and specialty materials company for a purchase price of $11 billion.
Advised DuPont in acquiring Donatelle Plastics, a medical device contract manufacturer, for over $300 million.
Advised DuPont in the $510 million sale of its global Clean Technologies business.

Represented Eurofins Scientific in the purchase of Ascend Clinical, a renal and transplant testing lab testing company.
Represented Aramark in the acquisition of Adventures on the Gorge, an outdoor adventure resort.
Advised DuPont in the sale of DuPont’s Nutrition & Biosciences Business in a reverse Morris Trust transaction, leading a team which negotiated numerous supply agreements and service agreements and handled diligence and certain other aspects of the merger.
Advised Spark Therapeutics in the company’s exclusive collaboration and licensing agreement with CombiGene AB, a Swedish gene therapy development company, for CombiGene’s CG01 project, an investigational gene therapy that aims to treat drug-resistant focal epilepsy.
Represented CSL Behring in the acquisition (from MedImmune) and subsequent sale (to Saol US Inc.) of CytoGam, an intravenous immune globulin indicated for cytomegalovirus. Both transactions included CytoGam and related assets, including patents and trademarks, manufacturing contracts, and government authorizations with the product.
Represented LAVA Therapeutics in a licensing deal with Seagen to develop, commercialize, and manufacture LAVA-1223, an advanced preclinical asset that targets epidermal growth factor receptor (EGFR)-expressing solid tumors.
Advised DuPont in the $250 million sale of its global microbial pathogen diagnostic business, DuPont Diagnostics, to Hygiena, a Warburg Pincus portfolio company.
Represented Berwind in its sale of Micron Technologies, which provides manufacturing technology and analytical services for the pharmaceutical industry.
Represented a global pharmaceutical company in a number of acquisition and licensing transactions, including a $500 million international acquisition of a biopharmaceutical company.
Represented DuPont in the negotiation and preparation of more than 200 product manufacturing and services agreements in connection with the separation of DowDuPont into three separate publicly traded companies.
Represented Berwind Corporation, a private investment management company, and its medical device manufacturing subsidiary in the acquisition of a medical device design and packaging company.
Represented CSL Behring in the license of intellectual property related to IL – 11 molecules to Lassen, a venture backed startup company, and the related common stock investment by CSL in Lassen.
Represented a global pharmaceutical company in a license and supply agreement valued at over $4 billion.
Represented a communications equipment manufacturer in its sale for approximately $750 million.
Represented a large financial services company in the sale of a subsidiary valued at approximately $500 million.
Represented a multinational supplier of aerospace and defense systems, components, and structures in the sale of its Fabrication business.
Represented a Nasdaq manufacturing company in the acquisition from a Dutch multinational of a division with operations in 12 countries.
