Share
Ballard Spahr M&A attorneys represented DePaul Construction & Materials, one of the Greater Philadelphia market’s largest independent producers of aggregates and asphalt, in its sale to Heidelberg Materials, a global, integrated manufacturer of building materials.
The transaction, which Heidelberg announced last month, closed last week. DePaul Construction & Materials, with headquarters in Flourtown, Pennsylvania, through its family of related companies, including Highway Materials, Inc., serves the contracting and construction industries in the Mid-Atlantic region. Included in Heidelberg’s acquisition are four crushed stone quarries, several hot-mix asphalt plants, two clean fill operations, a concrete recycling facility, a construction services business, and more than 350 employees.
Ryan J. Udell, partner in Ballard Spahr Mergers and Acquisitions Group, led a multidisciplinary team advising on all aspects of the transaction, which included M&A Group member Adam J. Chelminiak, as well as Dimitrios Angelakos for real estate matters; John J. Eagan, Christopher A. Jones, and William Ross Mitchell for tax issues; Haesun K. Burris-Lee for antitrust issues; and Brian M. Pinheiro, D. Finn Pressly, Christopher T. Cognato, and Jessica DuBois for labor, employment, and employee benefits matters.
