Thomas Lovett focuses on corporate and securities matters, including public and private offerings, mergers and acquisitions, corporate governance, general representation of SEC reporting companies, and the representation of investment bankers and broker-dealers. He also represents private companies across multiple industries.
Thomas has been primarily responsible for a number of public and private offerings and merger and acquisition transactions, representing both issuers and underwriters/agents/investment bankers. He has represented clients in an array of industries and has deep experience in disclosure and corporate governance.
Prior to entering private practice, Thomas served as a branch chief in the SEC’s Division of Trading and Markets in Washington, D.C., where he was involved in the oversight of self-regulatory organizations such as Nasdaq, the NYSE, and the MSRB. He also served as a Peace Corps Volunteer in the Republic of the Philippines.

Providing securities and corporate governance advice to public companies in a wide range of industries, including manufacturing, telecommunications, life sciences and medical devices, insurance, banking, and hospitality and entertainment. Practice includes advising clients on corporate governance and SEC disclosure, private offerings and registration statements, 1934 Act current and periodic reports, proxy statements, press releases, and shareholder communications.
- Securities counsel to public company in its divestiture of mature business unit, including securities and M&A advice
- Represented public company in negotiation and execution of $125 million combination merger agreement, including drafting and legal review of all SEC filings and external communications
- Represented public medical device manufacturing company in a merger and tender offer sale to private equity entity for $50 million
