Representative Matters

Served as local counsel for Horizon Lines, Inc. in its $75 million term loan for the purchase of two D-7 class containerships.
Represented Horizon Lines, Inc. in negotiations with the Port of Anchorage resulting in a consolidation of Horizon’s leases, easement agreements, licenses, crane use, and berthing agreements for Horizon’s containership operations.
Represented Horizon Lines, Inc. on its lease for containership operations in Dutch Harbor, Alaska.
Represented a national bank financing an Alaska Native corporation's acquisition of Peak Oilfield Service Company.
Represented a national bank on multiple credit facilities to a Canadian borrower and its British Columbia, Yukon Territory and Alaska subsidiaries, secured by the real estate, ground leases, tidelands lease agreements, locomotives and railcar assets of the White Pass and Yukon Railway.
Represented a national bank on a revolving credit facility secured by a portfolio of Alaska, Washington, Arizona and Texas residential apartment buildings.

Represented a Canadian investment fund with respect to its multimillion-dollar financing of an energy corporation for oil and gas exploration in Alaska secured by oil and gas tax credits.
Represented Gruma International Foods with respect to its acquisition of all of the stock of a privately-held company, Solntse Mexico, doing business in the Russian Federation.
Represented a Texas state-chartered commercial bank on series of financings to exploration company secured by oil and gas tax credits and drilling rigs and leases in Alaska's Cook Inlet.
Represented Renaissance Minerals Limited (Australia) and Black Peak LLC (Alaska) with respect to the Alaska due diligence review of mining claims for their acquisition of all the membership interests in an Alaska mining company.
Served as counsel to Alaska Maritime Documentation, Inc. with respect to preferred marine mortgages and vessel documentation.
Represented national bank lender on a $55.5 million credit facility to a seafood processor secured by preferred ship mortgages against a fleet of scallop harvesting vessels and the fleet's fisheries permits for the Georges Bank and other federal and state waters off New England for the scallop, Atlantic Tuna, lobster (net), and other fisheries.
Represented state bank on master credit facility for an aviation company's operations, secured by hangars, a fleet of helicopters, and a contract with the National Science Foundation to provide flight services in McMurdo Sound, Antarctica.
Served as counsel to A-1 Timber Consultants Inc., with respect to timber sale agreements.
Represented lender Gladstone Capital in the sale of radio station assets out of the Spirit of Alaska Radio federal court receivership proceeding, and in closing the sale of the radio station assets to Ohana Media Group.
Represented national bank on construction and term loan financing for a quick turnaround rental car facility located at the Bismarck, North Dakota Airport.
Represented national bank in financing acquisition and construction of a FedEx Ground Transportation package-handling facility in Fairbanks, Alaska.
Represented a national bank financing the acquisition of the commercial property known as the Twin Lakes Technological Park located in Boulder, Colorado.
Represented national bank on a master line credit facility with multiple interest rate options to a borrower for its acquisition and leasing of equipment to oil and gas exploration and production companies operating on the North Slope of Alaska.
Advised Alaska Interstate Construction regarding acquisition of mining equipment out of Canadian court receivership proceedings in Vancouver, British Columbia.
Represented national bank on credit facilities to finance the buyer's acquisition of the Alaska land-based tourism assets of Royal Celebrity Tours and Royal Caribbean Cruises.
Served as local Alaska counsel to J.F. Lehman & Company for its acquisition and financing of Ravn Air Group, Inc., a commercial passenger and cargo airline operating in Alaska.
Represented national bank on an interim credit facility to an Alaska-based waste and recycle service provider, for the sale of its business to Waste Connections, Inc.
Served as Alaska counsel for Canadian-based 7Seas Fish Co. Ltd. in its acquisition of an Alaska shore-based seafood processor, Alaska Fish Factory Ltd.
Served as Alaska counsel to Australia and New Zealand Banking Group Limited (ANZ) on its financing of Northern Star Resources' purchase of the Pogo gold mine.
Represented state bank on financing of AM Owner Group Inc.'s acquisition of Allen Marine, Inc. and its affiliates, secured by fleet preferred marine mortgages against thirteen vessels and other tourism assets.
Represented Matson Navigation Company of Alaska regarding its crane purchase and use agreements for the Port of Alaska Modernization Project.
