Richard Catalano is an associate in the firm’s Business and Transactions Departments, focusing on emerging companies and venture capital matters. He has experience representing a wide range of clients, including global institutional investors, tax-exempt entities, start-ups, hedge funds, family offices, and private equity and venture capital firms.
Richard regularly counsels clients on a variety of transactions, including but not limited to, convertible debt securities, financing raises ranging from friends and family rounds to early and to late-stage equity financing rounds, and mergers and acquisitions. He also explains and negotiates the terms of Token related agreements such as simple agreements for future tokens (SAFTs), token warrants and token purchase agreements. Richard handles a multitude of corporate governance matters as well as frequently drafts and negotiates third part vendor agreements for companies.

- Represented a venture capital firm as the lead investor by negotiating the financing agreements of a Fintech Company’s $60 million Series F preferred equity offering
- Represented and advised multiple investors as the lead investor in numerous domestic and foreign (India, UK, Asia and Europe) convertible debt offerings and early-stage preferred equity financing
