Charles R. Moran represents publicly traded and privately held companies, equity funds, investment banks, and institutional lenders in a wide variety of corporate, business, and finance matters. He is experienced in the representation of real estate investment trusts, life sciences and other technology-based companies, and health care providers.

Charlie regularly advises clients on matters of corporate law and corporate governance. He has acted as special corporate counsel to acquirers and targets, as well as to boards of directors and committees thereof, in connection with numerous mergers, acquisitions, restructurings, and other extraordinary transactions.

Experience 

Representative Matters

  • Represented a financial adviser in arranging financing for the construction and long-term operation of a 1.5 million-square-foot manufacturing and research facility, totaling $687 million
  • Represented an NYSE-listed real estate investment trust, as special corporate counsel, in connection with the acquisition of another publicly traded real estate investment trust, and related financing transactions, involving more than $3 billion in the aggregate
  • Represented a major financial services company and fund sponsor, as special corporate counsel, in connection with the formation and initial public offering of common stock of three closed-end investment funds, which generated aggregate proceeds of approximately $700 million (shares of common stock of each of the closed-end funds are now listed on the NYSE)
  • Represented one of the largest privately owned producers of crushed stone, aggregates and sand products, and ready-mix concrete in the eastern United States in connection with the sale of one of its divisions to a newly formed subsidiary of a European-based global construction supplies company
  • Represented an NYSE-listed real estate investment trust, as special corporate counsel, in connection with its acquisition by an equity fund in a cash merger for aggregate consideration of approximately $700 million
