Megan McCarthy is an associate in the firm’s Finance Department, focusing her practice on public finance matters. Megan serves as counsel to investment banking firms and investors, municipalities, issuers, and trustees in all types of public finance transactions, with an emphasis on high-yield municipal securities.
Megan focuses her practice on charter school, essential housing, and various project finance transactions serving as underwriter’s counsel, purchaser’s counsel or bond counsel. Megan has experience representing and advising clients on bankruptcy and other debt solutions.
Megan has volunteered as a certified tax preparer, focusing on serving Spanish-speaking clients, for AccountAbility Minnesota.

Representative Matters
- Served as underwriter’s counsel to a multinational investment bank and financial services company in connection with various issuances of bonds totaling approximately $1.4 billion for the purchase of multifamily residential rental housing facilities for conversion from market rate apartment complexes to affordable essential housing in California.
- Represented institutional investors in a high yield private placement offering of unrated bond anticipation notes issued by a water and power authority in the U.S. Virgin Islands.
- Acted as underwriter’s counsel for a global investment bank in connection with the issuance of approximately $52.5 million education revenue bonds for a multi-state charter school network in Texas.
- Acted as underwriter’s counsel to a multinational investment bank and financial services company in a project finance transaction for the purchase and sale of approximately $42 million tax-exempt solid waste disposal revenue bonds in Wisconsin.
