Rachel Loscheider focuses her practice on employee benefits and executive compensation, within the firm’s Business and Transactions Department. Rachel has experience counseling clients on a wide range of employee benefits and executive compensation matters, including plan design and administration, benefit determinations, plan disclosures and policies, as well as both federal and state employee benefit plan compliance regarding ERISA, the Internal Revenue Code, the Affordable Care Act, COBRA, HIPAA, CAA, and other employee benefit laws. She also evaluates cybersecurity due diligence policies and procedures of benefit plan vendors, negotiates vendor contracts, and manages requests for proposal for benefit plan vendors. Rachel also works with clients on employee benefit and compensation matters during mergers and acquisitions.
Additionally, Rachel represents ESOP trustees, shareholders, and companies in the design, structure, negotiation, and documentation of initial and second-stage ESOP transactions, re-leveraged transactions, and the acquisition and sale of ESOP companies.
