Andrew M. Banks is a New York transactional securities and fund formation attorney. He advises U.S. domestic and offshore private investment funds, fund sponsors, and investment managers on a broad set of legal and compliance matters. Andy advises fund managers in the structuring, formation, and operation of various private investment funds, including private equity funds, hedge funds, real estate funds, and private credit funds.
Andy advises clients on U.S. federal and state investment adviser regulation and compliance governing investment management, securities, investment funds, and advisers, including the Investment Company Act, the Investment Advisers Act, the Securities Act, and the Securities Exchange Act.
Andy has led intricate international and domestic transactions, including negotiating limited partnership agreements, investment management agreements, and operating agreements, as well as merger agreements, stock and membership interest purchase agreements, joint venture agreements, and other investment and offering documents.
