Bradley D. Patterson focuses on bond counsel and underwriter’s counsel engagements in Western states for all types of financings, including traditional governmental bonds, and conduit transactions. Mr. Patterson concentrates his practice on initial and continuing disclosure. He has also developed experience in the rules of the Securities and Exchange Commission and Municipal Securities Rulemaking Board, and he frequently advises clients on materiality standards, regulatory compliance, and enforcement actions.
In addition, Mr. Patterson has been active on the Securities Committee of NABL and is currently serving as co-editor of NABL’s Securities Laws of Municipal Bonds Deskbook.
Mr. Patterson is a member of Ballard Spahr's Elected Board.
- Prepares disclosure documentation, including official statements and private placement memoranda for traditional and nontraditional governmental financings, certificates of participation, interlocal revenue bonds, hospital bonds, higher education bonds, electric utility bonds, airport revenue bonds, variable-rate bonds, auction rate securities, and commercial paper program
- Prepares underwriting documentation, including bond purchase contracts, agreements among underwriters, remarketing agreements, auction agent agreements, and broker-dealer agreements
- Prepares bond documentation for a variety of deal structures, including general obligation bonds, utility revenue bonds, sales tax revenue bonds, lease revenue bonds, pooled financings, industrial revenue bonds, and 501(c)(3) bonds
