We advise clients in structuring, documenting, closing, servicing, restructuring, and enforcing real estate debt and equity transactions. With more than 85 attorneys throughout the United States, we offer nationally recognized skill and experience, local market knowledge, and a comprehensive understanding of the issues that drive transactions and markets.

Our Real Estate Finance and Capital Markets Group is one of the most active in the country and is home to many of the nation’s leading lawyers who have played pivotal roles in developing, structuring, and negotiating an impressive range of complex, high-profile real estate transactions. Our work includes helping clients execute on individual and programmatic transactions involving a wide variety of deal structures and project types as well as helping clients resolve a problem or pursue an opportunity including those involving “legacy” assets. Our active relationships with important industry participants help to identify opportunities and trends and to facilitate transactions.

Our practice group works closely with other members of our Real Estate Department, as well as other practice groups within the firm, to effectively provide the resources and experience necessary for each matter. We represent clients in structuring, negotiating, documenting, closing, and servicing a broad range of real estate finance transactions, including the origination of senior and junior mortgage loans, development and construction loans, bridge loans, loans for securitization, mezzanine loans and loans with syndicated and A/B structures. We also handle preferred equity and joint venture investments and credit-tenant private placement transactions.

We advise clients in originating syndicated and structured loans and we routinely negotiate and document co-lender and intercreditor arrangements. Our lending clients include institutional and investment banks, insurance companies, finance and specialty lending companies, private equity firms and mortgage REITs. We also actively represent real estate investment companies and developers in, as borrower, a wide variety of single- and multi-property loan transactions as well as in joint venture and preferred equity transactions involving a wide variety of property types, including multifamily rental, residential and commercial condominium, retail, office, industrial, and hospitality projects.

Our nationally recognized Distressed Real Estate and Commercial Loan Servicing Teams counsel lenders, master and special loan servicers, investors, and borrowers in loan restructurings, enforcement matters, loan sales, and rescue capital transactions, as well as loan assumptions and defeasances. Our Private Equity Real Estate and our Insurance Company and Institutional Investments Teams advise private equity firms and insurance companies, respectively, on acquisitions and dispositions, joint venture and preferred equity investments, first mortgage and mezzanine lending programs, loan purchases, restructurings and distressed real estate matters, and portfolio analysis. The attorneys on our CMBS Loan Origination Team advise a diverse group of clients in a variety of deal structures, project types, and capital arrangements. They represent some of the nation’s largest banks, financial institutions, and private equity firms, operating active and diverse debt and equity platforms—with many pursuing multiple secondary market executions.
