Drawing on the skill and experience of our more than 115-lawyer Real Estate Department and our more than 85-lawyer Real Estate Finance Group, our CMBS Loan Origination team combines recognized excellence in real estate and real estate finance with a thorough understanding of the CMBS loan origination and securitization process. We provide comprehensive, practical, and efficient service and guidance for the successful structuring, documenting, and closing of loans intended for securitization.
The lawyers on our team have a broad range of experience and advise a diverse group of clients in a variety of deal structures, project types, and capital arrangements. We represent some of the nation’s largest banks, financial institutions, and private equity firms, operating active and diverse debt and equity platforms—with many pursuing multiple secondary market executions.
The depth of our national team allows each matter to be staffed in the most effective and efficient manner possible, respecting and meeting the timing and value expectations of our clients. We understand our clients’ business objectives as well as the highly competitive nature of the real estate finance market and we are committed to the successful closing of each transaction.
Our team has advised on a range of project types, including:
- Shopping centers and retail malls
- Office buildings and complexes
- Hotels and resorts
- Multifamily rental projects
- Residential and commercial condominiums
- Industrial properties
- Master-planned and mixed-use developments
- Retirement, senior housing, and assisted-living communities
Our experience with a wide variety of joint venture, subordinate debt, mezzanine loan, and other capital structures allows us to anticipate issues and account for them as part of the loan closing and documentation process. We also have extensive experience with intercreditor agreements and related issues.
With more than 20 years of CMBS loan experience, many of our CMBS Loan Origination lawyers also are members of our national, industry-leading Distressed Real Estate team. Since its formation in 2008, that team has restructured and enforced hundreds of troubled CMBS loans on behalf of special servicers. Our first-hand experience in handling distressed matters guides us in documenting new CMBS loans, and identifying troublesome legal and business issues that may arise.
In addition, our long history of representing real estate investors, developers, and owners provides insight into borrower-side issues and allows us to precisely identify and address relevant issues while adhering to lender and rating agency requirements.
Our attorneys write and lecture nationally and are considered thought leaders in the industry. They are actively involved in key industry conferences and groups, such as the Commercial Real Estate Finance Council, the Mortgage Bankers Association of America, and the Real Estate Roundtable and often serve as event organizers.
