Jane Siegfried is a transactional attorney with a broad-based practice, including mergers and acquisitions, securities matters, corporate governance, and general corporate matters. She represents clients ranging from private equity portfolio companies to insurance brokerages and technology-related companies.
Ms. Siegfried has experience representing both buyers and sellers in acquisition transactions. Her experience includes negotiating, drafting, and editing Stock and Asset Purchase Agreements, Operating Agreements, Members/Stockholders Agreements, Subscription Agreements, Employment Agreements, Confidentiality Agreements, Letters of Intent, and Organizational Documents.
Ms. Siegfried has represented companies in corporate securities matters, including equity offerings, securities law compliance, and preparation of annual and quarterly reports and other reporting and disclosure requirements under the Securities Act of 1933 and Securities Exchange Act of 1934.
Prior to entering law school, Ms. Siegfried was a contracts negotiator at Mitsui Energy Risk Management, Ltd., an energy trading firm in New York.

- Represented the seller of an organic foods business in a $775 million sale of its assets to an NYSE-listed foods company
- Represented a private equity portfolio company on $120 million mixed stock and asset acquisition of nine regional subsidiaries of a publicly traded entity
- Represented a private equity portfolio company in the insurance brokerage industry on various acquisitions ranging from $20 million to $50 million
