Steve B. Park has experience in corporate, securities, and finance law with an emphasis on public and private offerings of securities, commercial lending transactions, mergers and acquisitions, corporate governance, EB-5 transactions, and compliance with SEC regulations and reporting requirements.

Mr. Park is Co-Practice Leader of the firm's EB-5 Group and is well known for his work on EB-5 financing matters and has represented a wide range of regional centers, project developers, and other sponsors in EB-5 securities offerings and other aspects of the federal program. EB5 Investors Magazine recently named him one of the top eight EB-5 corporate and securities attorneys in the United States.

He also focuses on commercial lending transactions for lenders and borrowers, especially in the automotive sector. Mr. Park is fluent in Korean and often represents both multinational companies and banking clients who extend credit for Korean and other corporate borrowers in the United States. His work also involves advising companies on issues involving business organization, corporate governance, and federal regulatory compliance.

Representative Matters

  • $50 million unsecured demand loan facility to a developer of oil and gas upstream and midstream assets
  • $20 million unsecured demand loan facility to an automotive parts manufacturer
  • $20 million unsecured bridge loan and $20 million unsecured term loan facilities to an organic and natural food producer
  • Has represented multiple regional center clients from formation of regional center entity through filing of I-924, Application for Regional Center Designation, under EB-5 investment program
  • Has prepared private placement materials for a sponsor of a $200 million EB-5 offering to foreign investors to fund construction of a large-scale infrastructure project
  • Has prepared private placement materials and financing documents for a $15 million EB-5 offering to foreign investors to fund expansion of manufacturing facilities for an automotive parts manufacturer
  • Has prepared securities offering materials and negotiated preferred equity financing documents for a $50 million offering to foreign investors to fund development of a mixed-use addition to a technology center
  • Has provided counsel to an EB-5 regional center, prepared securities offering materials, and negotiated loan documents in connection with a $200 million term loan facility for the construction of a large-scale transportation infrastructure project
  • Has provided counsel to an automotive parts manufacturer, prepared securities offering materials, and negotiated loan documents (including subordination and intercreditor agreement with a senior lender) in connection with a $30 million offering to foreign investors to fund expansion of manufacturing facilities
  • A hedge fund in its proxy fight to elect three directors to the board of a public cellular communications company (settled with the election of two of the nominees to the board)
  • A public company in preparing its proxy statement for a special shareholders meeting to approve its acquisition by another public company for $62 million
  • A public REIT in a $9.1 million special distribution paid 20 percent in cash and 80 percent in stock
  • A public company in a $63.25 million follow-on public offering
