Conrad Bower is a transactional attorney with a diverse corporate practice that includes mergers and acquisitions, securities matters, corporate governance, and general contract matters. Conrad focuses his practice on counseling public and private companies in merger, acquisition, and divestiture transactions in such industries as health care, medical device, technology, manufacturing, and aerospace. Conrad also counsels clients on securities matters, including public offerings and private placements, compliance with state and federal securities laws, and preparation of periodic and current reports pursuant to the Securities Exchange Act of 1934. Conrad also has experience acting as underwriters' and remarketing agents' counsel in connection with the issuance and remarketing of tax-exempt and taxable municipal securities, as well as the private placement of corporate debentures and other debt instruments.

Before entering law school, Conrad worked as an analyst for Bloomberg, L.P.

Representative Matters

  • Represented E. I. du Pont de Nemours and Company in the sale of its global food safety diagnostics business to Hygiena, a Warburg Pincus portfolio company
  • Represented IPS-Integrated Project Services, an engineering firm servicing the pharmaceutical and biotechnology industries, in the sale of a majority of its equity interest to Alleghany Capital Corporation, a private-equity purchaser and wholly owned subsidiary of Alleghany Corporation
  • Represented Hunt Companies in its acquisition of a minority interest in Pennrose Properties, a privately held firm specializing in multifamily affordable and mixed-use public private partnership development projects across the United States
  • Represented Sharp Packaging Services (Sharp), a U.S. subsidiary of UDG Healthcare, in the acquisition of a pharmaceutical packaging business from Daiichi Sankyo, Inc. (DSI) and the negotiation of a commercial arrangement with DSI pursuant to which Sharp will provide packaging, clinical, and analytical services to DSI for several of its U.S.-branded products
  • Represented a Philadelphia-based architecture firm that specializes in commercial architecture in the hospitality, gaming and entertainment industry in the sale of substantially all of its assets to a global architecture, design, and consulting services organization
  • Represented PharmaMetrics, Inc., a leading provider of contract operations outsourcing and market access analytics software and services to the pharmaceutical industry, to Integrichain, a portfolio company of Accel-KKR

Pro Bono Experience

Conrad serves as counsel to Philadelphia Youth Basketball, Inc. (PYB), a 501(c)(3) nonprofit organization that leverages the sport of basketball to empower urban youth as students, athletes, and positive leaders. In addition to guiding PYB through the incorporation and 501(c)(3) application processes, Conrad regularly counsels PYB and its board of directors on corporate governance, nonprofit law, and general contract matters.
